Regulation FD Disclosure.
On March 5, 2021, Playtika Holding Corp. (the “Company”) issued a press release announcing the pricing of its previously announced offering of $600,000,000 aggregate principal amount of its 4.250% senior notes due 2029 (the “Notes”) at par. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
The Notes and the related guarantees have not been and will not be registered under the Securities Act of 1933, as amended (the “Securities Act”), or the securities laws of any other jurisdiction. The Company does not intend to register the Notes and the related guarantees for an exchange offer under the Securities Act. Playtika Announces Pricing of $600 Million of Senior Notes Due 2029

Playtika Holding Corp. (Playtika) today announced that it successfully priced its previously announced offering of $600 million aggregate principal amount of its senior notes due 2029 at par. The notes will bear interest at a fixed rate of 4.250% per year and will mature on March 15, 2029. The offering is expected to close March 11, 2021, subject to customary closing conditions.
Playtika intends to use the net proceeds from the offering of the notes, together with borrowings under a new senior secured term loan to be entered into substantially concurrently with this offering, to repay borrowings under its existing senior secured term loan and to pay fees and expenses in connection with the transactions. The notes will be fully and unconditionally guaranteed by certain of Playtikas existing and future subsidiaries that also guarantee Playtikas senior credit facilities.
The notes and the related guarantees have not been and will not be registered under the U.S. Securities Act of 1933, as amended (the Securities Act), or the securities laws of any other jurisdiction.
